Two Critical Steps Every Business Owner Must Take to Protect Their Enterprise

Gauteng, South Africa — Small, medium and micro enterprises (SMEs) form the backbone of South Africa’s economy, with between 2.4 million and 3.5 million businesses pumping more than R900 million into the economy annually. However, wills and estates specialists warn that many business owners are putting their life’s work at serious risk by neglecting two fundamental aspects of business protection.

According to Eksekuteurs vir Boedels en Testamente, an alarming number of business owners fail to address critical succession planning and estate administration requirements. This oversight can have devastating consequences for employees, customers, suppliers, business partners, and shareholders when the unexpected occurs.

“Business owners pour their blood, sweat, and tears into making their enterprises successful,” explains the estate planning firm. “Yet many procrastinate on securing their business’s future, often due to a lack of knowledge about estate planning, the assumption that there’s still time, or an inability to face their own mortality.”

The consequences of inadequate planning can be severe. Businesses may become unable to enter into new contracts or extend existing agreements, bank accounts may become inaccessible, salaries cannot be paid, and debts and taxes may accumulate. These risks are entirely preventable through proper preparation.

The first essential step is establishing a comprehensive will. Business owners should draw up an official will indicating who should take over the business, appoint an executor with specialised knowledge to ensure business continuity, and consider appointing a co-owner or director to reduce disruption risks. Regular annual reviews ensure the will remains valid and fits current circumstances.

The second crucial element is developing a succession planning strategy. This involves identifying and training potential leaders well before retirement or unexpected circumstances arise. Early succession planning provides time to thoroughly evaluate candidates, review goals and processes, actively develop successors, avoid power struggles, and consider legal, financial and tax implications for smooth transitions.

Recent real-life cases demonstrate these risks. One business owner passed away without updated financial statements from the previous two years, leaving the business without proper valuation. The purchase and sale agreement became part of the estate and could not be enforced, leaving the enterprise in an extremely vulnerable position.

For comprehensive guidance on business succession planning, business owners can access expert resources and support.
