PRETORIA, South Africa — OAK Law has published a guide highlighting a compliance gap that most South African businesses do not realise they have until it collides with something urgent. While annual returns and beneficial ownership declarations now receive consistent attention, the underlying CIPC record itself, including director listings, registered office addresses, auditor appointments, and MOI amendments, quietly drifts out of date. The article explains why that drift is far more expensive than the filing it takes to prevent it.

The scenarios are predictable but the timing never is. A bank flags the company’s account during a FICA review because the director list on CIPC does not match the facility application. A tender submission is disqualified on a technicality because the compliance certificate reflects an address the company left two years ago. A summons is served at a registered office the business no longer occupies, and a default judgment follows before anyone at the company knows proceedings were initiated. In each case, the gap between what CIPC shows and what is actually true becomes the company’s problem at the moment it can least afford one.

The guide covers which categories of information the Companies Act requires companies to keep current throughout their existence, the filing timeframes and specific CoR forms that apply to each type of change, and the practical consequences when details drift, from frozen bank accounts through to former directors who remain personally exposed because a resignation was never filed.

One risk the article flags that catches most people off guard: a director who resigns but whose CoR39 is never submitted remains listed on the public register, potentially exposed to scrutiny over decisions made long after they genuinely stepped away from the business.
